Company Share Registers Move Online with Self-Service Access

Until now, companies and shareholders could access share register information only through an intermediary. A new Axiology user interface now gives issuers and investors real-time access to this information, without the need to submit additional requests.
Capital markets infrastructure provider Axiology, which manages company share registers covering more than €400 million in equity, has launched a share register platform with direct access for companies and their shareholders. It is the first solution of its kind in Lithuania.
As companies attract more investment and shareholder bases continue to grow, share register management has become an increasingly important administrative function. However, its digitalisation has lagged behind other financial services.
Under Lithuanian law, transfers of shares in private limited liability companies (UABs) must be registered through either a notary or a licensed financial brokerage firm where 25% or more of a company's shares are transferred, or where the transaction value exceeds €14,500. Even when share register management is entrusted to a professional service provider, access to the underlying data has typically remained indirect. To review the shareholder structure, transaction history or registered share pledges, issuers and investors have had to request a PDF extract from the share register administrator. This has affected not only convenience but also the speed of decision-making.

"Lithuania's private capital market has grown faster than the infrastructure supporting it. Today we can access our bank account or investment portfolio at any time, yet information held in company share registers still usually depends on an intermediary. We wanted this information to be available just as easily, through a secure online account," says Marius Jurgilas, CEO of Axiology.
After logging into the platform, issuers can view their shareholder structure, transaction history, registered share pledges and other shareholder information in real time, as well as generate the reports they need. Investors can view their shareholdings, transaction history and securities account statements. All information is updated automatically.
Axiology currently manages the share registers of more than 150 companies. Its clients include businesses operating in the technology, defence and manufacturing sectors, including UAB Membas, the company behind the Digi klasė platform.
As a licensed financial brokerage firm, Axiology maintains the official, legally recognised share register. This means clients no longer need to use another financial brokerage firm or a notary to register eligible share transactions. Everything is available through a single platform.
"Many companies only think about their share register when they need to make an important decision – bringing in a new investor, selling shares, implementing a share option plan or preparing for a shareholders' meeting. At that point, they often have to search for old documents, verify information and wait for registry extracts. We wanted all of this information to be available instantly, without additional requests or administrative burden," says Virgilijus Vaiškūnas, Head of Operations at Axiology.
Over the coming months, the company plans to expand the platform with integrations with accounting systems, share option functionality and enhanced reporting capabilities.
